Acceptance of Terms

By accessing or using Elenta Systems' services, you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not use our services.

Description of Services

Elenta Systems provides digital transformation services including but not limited to:

• Enterprise software development and solutions
• Artificial intelligence and automation services
• Web and mobile application development
• Cloud computing and infrastructure services
• UX/UI design and consulting
• Digital transformation consulting

User Responsibilities

When using our services, you agree to:

• Provide accurate and complete information
• Use our services for lawful purposes only
• Respect intellectual property rights
• Maintain the confidentiality of your account credentials
• Comply with all applicable laws and regulations
• Not attempt to gain unauthorized access to our systems

Payment Terms

Fees and Billing

Payment terms will be specified in individual service agreements. Generally:

• Invoices are due within 30 days of receipt unless otherwise specified
• Late payments may incur additional charges
• All fees are non-refundable unless explicitly stated
• Prices may be subject to change with 30 days' notice

Suspension for Non-Payment

We reserve the right to suspend or terminate services for accounts with overdue payments. We will provide reasonable notice before taking such action.

Intellectual Property Rights

Our Intellectual Property

All content, software, designs, and materials developed by Elenta Systems remain our intellectual property unless explicitly transferred to you in writing.

Client Intellectual Property

You retain ownership of your pre-existing intellectual property. You grant us a license to use your materials as necessary to provide our services.

Work Product Ownership

Ownership of custom work products will be specified in individual project agreements. Generally, you will own custom developments upon full payment, while we retain rights to general methodologies and frameworks.

Confidentiality

We understand the sensitive nature of business information and commit to:

• Maintaining strict confidentiality of all client information
• Using confidential information solely for providing agreed services
• Implementing appropriate security measures to protect data
• Not disclosing information to third parties without consent

Limitation of Liability

To the maximum extent permitted by law:

• Our total liability shall not exceed the fees paid for the specific service
• We are not liable for indirect, incidental, or consequential damages
• Force majeure events are excluded from our liability
• You are responsible for maintaining backups of your data

Service Level Agreements

We strive to provide reliable services and typically offer:

• 99.9% uptime for hosted solutions (excluding scheduled maintenance)
• 24-hour response time for critical issues
• Business hours support (Sunday-Thursday, 9 AM - 6 PM EET)
• Regular backups and disaster recovery procedures

Termination

Termination by Either Party

Either party may terminate ongoing services with 30 days' written notice. Project-based work will be completed according to the agreed timeline unless otherwise terminated.

Immediate Termination

We may immediately terminate services if you:

• Breach these Terms of Service
• Fail to pay invoices after receiving notice
• Use our services for illegal activities
• Attempt to damage our systems or reputation

Governing Law and Dispute Resolution

These Terms are governed by the laws of Egypt. Any disputes arising from these Terms or our services will be resolved through:

1. Good faith negotiations between the parties
2. Mediation by a mutually agreed mediator
3. Arbitration in Cairo, Egypt, if mediation fails

Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by email or through our website. Continued use of our services after changes constitutes acceptance of the updated Terms.
